Motion Digitizer for Windows 使用許諾契約書
本契約は、Keitaro Seki（seki-lab、以下「販売者」）が提供するソフトウェア「Motion Digitizer for Windows」（付属するファイル・説明書・更新版を含み、以下「本ソフトウェア」）の使用について、本ソフトウェアをインストールまたは使用するお客様と販売者との間で適用されます。本ソフトウェアをインストールまたは使用した時点で、お客様は本契約に同意したものとみなされます。同意いただけない場合は、本ソフトウェアをインストール・使用しないでください。
第1条（使用許諾）
1. 販売者はお客様に対し、本契約に従って本ソフトウェアを使用する、非独占的かつ譲渡できない権利を許諾します。
2. 本ソフトウェアの基本機能（動画の読み込み、デジタイズ、プロジェクト・データの読み込みなど）は無料で使用できます。
3. プロジェクトの保存、座標データのエクスポート、動画エクスポートなどの機能（以下「Pro 機能」）は、有効なサブスクリプションのライセンスキーで有効化した場合に限り使用できます。
4. 1つのライセンスキーで Pro 機能を有効化できるのは、最大 3 台のコンピューターまでです。有効化を解除すれば、別のコンピューターで有効化できます。
第2条（ライセンスの確認と送信される情報）
1. 本ソフトウェアは、Pro 機能を有効化したとき、およびその後定期的に（おおむね 24 時間ごと）、インターネットを通じてライセンスキーが有効かどうかを確認します。
2. 最後に確認できてから 14 日を過ぎてもオンラインで確認できない場合、再び確認できるまで Pro 機能は使用できなくなります。
3. 確認のため、ライセンスキー、コンピューター名と OS の種類、有効化のときに Polar がコンピューターごとに発行する識別子が、決済・ライセンス管理サービス Polar（Polar Software, Inc.）に送信されます。動画・プロジェクトなど、お客様が本ソフトウェアで扱うデータは送信しません。
第3条（禁止事項）
お客様は、次の行為をしてはなりません。
(1) 本ソフトウェアまたはライセンスキーを、第三者に販売・貸与・再配布・共有すること
(2) ライセンスの確認や機能の制限を、回避・無効化・改ざんすること
(3) 本ソフトウェアのうち販売者が著作権を持つ部分を、リバースエンジニアリング・逆コンパイル・逆アセンブルすること。ただし、法令で認められる場合、および第6条に定める場合を除きます。
第4条（サブスクリプションと支払い）
1. Pro 機能のサブスクリプションは Polar（Polar Software, Inc.）を通じて販売され、料金・支払い・税金・返金の手続きは同社が行います。
2. サブスクリプションは、Polar の顧客ポータル（購入時のメールのリンク、または本ソフトウェアのライセンス画面の「サブスクリプションを管理」から開けます）からいつでも解約できます。解約した場合も、支払い済みの期間の終了までは Pro 機能を使用できます。
3. サブスクリプションが終了すると、Pro 機能は使用できなくなります。それまでに保存したプロジェクトやエクスポートしたデータは、引き続きお客様のものとして使用できます。
第5条（知的財産権）
本ソフトウェア（第6条のオープンソース・コンポーネントを除く）に関する著作権その他の知的財産権は、販売者に帰属します。本契約は、本ソフトウェアの所有権をお客様に移転するものではありません。
第6条（オープンソース・コンポーネント）
1. 本ソフトウェアには、Qt for Python（PySide6）、Qt、OpenCV、FFmpeg、NumPy、Python など、それぞれのライセンスで提供されるオープンソース・ソフトウェア（以下「OSS コンポーネント」）が含まれています。一覧とライセンスの全文は、インストール先の licenses フォルダー（THIRD_PARTY_NOTICES.txt）に記載しています。
2. OSS コンポーネントには、本契約よりもそれぞれのライセンスの条件が優先して適用されます。
3. 本契約のいかなる条項も（第3条を含みます）、GNU Lesser General Public License で提供される OSS コンポーネント（Qt、PySide6、Shiboken6、FFmpeg）について、お客様がそれらを改変すること、改変版や別のビルドに差し替えること、およびその改変のデバッグを目的としてリバースエンジニアリングを行うことを制限しません。
4. Polar の購入者規約その他の条件のうち、OSS コンポーネントの改変などを制限する部分は、OSS コンポーネントには適用されません。
第7条（保証の否認）
1. 本ソフトウェアは「現状のまま」提供されます。販売者は、本ソフトウェアに不具合がないこと、特定の目的に適合すること、本ソフトウェアで得られる座標・計算結果などが正確であることを保証しません。
2. 本ソフトウェアで得た結果を研究・教育・指導などに用いる場合は、お客様の責任で妥当性を確認してください。
第8条（責任の制限）
1. 販売者は、本ソフトウェアの使用または使用できなかったことによりお客様に生じた損害（データの消失、逸失利益などを含みます）について、販売者の故意または重大な過失による場合を除き、責任を負いません。
2. 販売者が責任を負う場合でも、その額は、損害が生じた時点でお客様が契約していたサブスクリプションの 1 か月分の料金（年額プランの場合は年額の 12 分の 1）を上限とします。ただし、販売者の故意または重大な過失による場合、および法令によりこの制限が認められない場合を除きます。
第9条（契約の終了）
お客様が本契約に違反した場合、販売者は通知により本契約を終了し、ライセンスキーを無効にできます。お客様は、本ソフトウェアをアンインストールすることで、いつでも本契約を終了できます。
第10条（契約の変更）
販売者は、本ソフトウェアの更新版とともに本契約を変更することがあります。変更後の本契約は、その更新版をインストールした時点から適用されます。
第11条（準拠法・管轄）
本契約は日本法に従って解釈されます。本契約に関する紛争は、東京地方裁判所を第一審の専属的合意管轄裁判所とします。
第12条（言語）
本契約は日本語版と英語版で提供します。両者の内容に相違がある場合は、日本語版が優先します。

Motion Digitizer for Windows — End User License Agreement
This Agreement governs your use of the software "Motion Digitizer for Windows", including any accompanying files, documentation and updates (the "Software"), provided by Keitaro Seki (seki-lab) (the "Licensor"). By installing or using the Software you agree to this Agreement. If you do not agree, do not install or use the Software.
1. License
1.1 The Licensor grants you a non-exclusive, non-transferable right to use the Software in accordance with this Agreement.
1.2 The basic features of the Software (opening videos, digitizing, opening projects and data, etc.) may be used free of charge.
1.3 Features such as saving projects, exporting coordinate data and exporting videos (the "Pro Features") may be used only after activation with a license key of a valid subscription.
1.4 One license key can activate the Pro Features on up to 3 computers. You can deactivate a computer to activate another one.
2. License Validation and Information Sent
2.1 When you activate the Pro Features, and periodically thereafter (about every 24 hours), the Software checks over the Internet whether your license key is valid.
2.2 If the license cannot be validated online for more than 14 days after the last successful check, the Pro Features are unavailable until it can be validated again.
2.3 For validation, your license key, your computer name and operating system type, and the identifier that Polar issues for each computer at activation are sent to Polar (Polar Software, Inc.), the payment and licensing service. Videos, projects and other data you handle in the Software are not sent.
3. Restrictions
You may not:
(a) sell, rent, redistribute or share the Software or your license key with third parties;
(b) circumvent, disable or tamper with the license validation or feature restrictions;
(c) reverse engineer, decompile or disassemble the parts of the Software copyrighted by the Licensor, except as permitted by applicable law and as provided in Section 6.
4. Subscription and Payment
4.1 Subscriptions for the Pro Features are sold through Polar (Polar Software, Inc.), which handles pricing, payment, taxes and refunds.
4.2 You may cancel your subscription at any time from the Polar customer portal (open it from the link in your purchase email or with "Manage Subscription" in the Software's license window). After cancelling, you can use the Pro Features until the end of the period already paid for.
4.3 When the subscription ends, the Pro Features become unavailable. Projects you have saved and data you have exported remain yours to use.
5. Intellectual Property
All copyrights and other intellectual property rights in the Software, excluding the open-source components described in Section 6, belong to the Licensor. This Agreement does not transfer ownership of the Software to you.
6. Open-Source Components
6.1 The Software includes open-source software provided under its own licenses, including Qt for Python (PySide6), Qt, OpenCV, FFmpeg, NumPy and Python (the "OSS Components"). The list of components and the full license texts are in the "licenses" folder of the installation (THIRD_PARTY_NOTICES.txt).
6.2 Each OSS Component is governed by its own license, which prevails over this Agreement.
6.3 Nothing in this Agreement, including Section 3, restricts you from modifying the OSS Components licensed under the GNU Lesser General Public License (Qt, PySide6, Shiboken6 and FFmpeg), from replacing them with modified versions or other builds, or from reverse engineering for debugging such modifications.
6.4 Any provision of the Polar buyer terms or other terms that would restrict modification of the OSS Components does not apply to the OSS Components.
7. Disclaimer of Warranty
7.1 The Software is provided "as is". The Licensor does not warrant that the Software is free of defects, fit for a particular purpose, or that coordinates, calculations and other results obtained with it are accurate.
7.2 If you use results obtained with the Software for research, education, coaching or other purposes, you are responsible for verifying their validity.
8. Limitation of Liability
8.1 Except in cases of willful misconduct or gross negligence of the Licensor, the Licensor is not liable for any damages arising from the use of or inability to use the Software, including loss of data or lost profits.
8.2 Where the Licensor is liable, its liability is limited to one month's fee of the subscription you held when the damage occurred (one twelfth of the annual fee for an annual plan), except in cases of willful misconduct or gross negligence of the Licensor, or where such limitation is not permitted by law.
9. Termination
If you breach this Agreement, the Licensor may terminate it by notice and disable your license key. You may terminate this Agreement at any time by uninstalling the Software.
10. Changes
The Licensor may change this Agreement together with an update of the Software. The changed Agreement applies from the time you install that update.
11. Governing Law and Jurisdiction
This Agreement is governed by the laws of Japan. The Tokyo District Court has exclusive jurisdiction in the first instance over any dispute relating to this Agreement.
12. Language
This Agreement is provided in Japanese and English. In case of any discrepancy, the Japanese version prevails.
